Employment contracts

Here are some reasons why you, as an employer need to have an employment contract in place with every employee – be he/she a salesman, secretary, fellow director, administrator, manager

  •  It is the law that certain particulars have to be stated in writing to the employee within a short time of starting with you
  • You want to know / be precise about the extent of your obligations over and above those imposed by law automatically
  • You want to agree with the employee exactly what he or she has to do - to avoid mis understandings about job roles
  • You want to regulate what happens when the relationship comes to an end, especially where there is a possibility that the employee can cause your business harm after he/she has gone

We review your existing contracts, if any; speak with you – over the telephone, if necessary for however long it takes, usually 1.5 hours - to go through the sort of things that you wish to cover for your particular workforce, prepare the contract and provide you with a master copy in Word format for you to insert your employees' names, personal details and remuneration etc.

Change of name

One growing area of work is preparing a Change of Name Deed.

If you wish to anglicize your name or just be known by a different name, your dealings with banks and other institutions will be greatly simplified if you have such a Deed

In order to prepare one we need sight of your original passport and a utility bill showing where you live; copy them and to know the name by which you would like to be known

We will prepare up to 10 originals of the Deed for

£175 plus VAT

 

Tenancies

We will prepare an assured shorthold tenancy for your residential premises. We meet with you - however long it takes - to go through a typical document and discuss how it needs to be adapted to your particular circumstances and the property,  amend it and provide you with a master copy in Word format for you to insert your tenants details and the rent

Confidentiality agreements

Often a business will wish to discuss confidential, future business prospects with a prospective joint venture partner, distributor, new employee, supplier of component parts or some other person who will be involved in the project if it proceeds ('the Outsider')

The business will not want the Outsider to 'steal' or publicise the idea and so would like him to sign a Confidentiality Agreement, impressing on the Outsider the seriousness of the commitment to confidentiality and setting out what will happen if the confidentiality is breached.

The Agreement will

  1. Provide a consideration - you cannot sue on a promise
  2. Identify the nature of the confidential information so that everyone is clear what is and is not protected
  3. List out exceptional circumstances which will not give rise to a claim. You do not want the courts to negate or limit the effectiveness of the undertakings to be given because they are unreasonably wide
  4. Require the Outsider not to make use of the confidential information in various ways - it is no good asking him not to use it, if he passes it on for someone else to use
  5. Require him, in certain circumstances, to hand back or destroy any paperwork in relation to the confidential information or project
  6. Indicate when the obligations will cease
  7. Spell out the consequences of a breach - injunctions, damages etc
  8. State that English law applies - often these agreements have an international element to them

As with any legal document, it is usually best that it is presented to the proposed signatory well in advance and he is given time to read it, perhaps with legal advice. You do not want to be faced with the defence - it was thrust in front of me and I was not given the opportunity to consider it properly.
