We have lost count of the number of new businesses, where we have advised on formation

Such advice to include:-

1. The major question of whether a partnership or limited company is the appropriate vehicle for the type of business 

2. The tax ramifications of each choice

3. Preparing the appropriate documentation, be it a Partnership Agreement or Memorandum and Articles of Association of a Limited Company with a Shareholders Agreement.

Company Restoration

One specialty has been the need to restore or get back a Company on to the UK Register of Companies, where non-filing of accounts or other non-compliance with the rules has led to a Company being struck off or, in two such cases, it was remembered (too late by the client ) that there were valuable assets.

Company purchase of own shares

Sometimes, a shareholder wishes to leave a company, but the other shareholders cannot (or does not want to) afford to buy him out. The Company may, in certain circumstances, fund the purchase of its own shares. We organised the rather specialised procedure sanctioned by the Companies Act for a well known North London Company of car dealers to buy in its own shares .

Shareholder / Director disputes

We have much experience in dealing with disputes between Shareholders in private limited companies.

Acting for one of the two shareholders in an, internationally known, private limited company of footwear manufacturers, we got permission from the Court of Appeal for an Anton Piller raid on the "rival secret business" premises of the other Shareholder and executed that raid with our own staff and those of an international firm of private detectives.

We acted  on behalf of one brother against the other in a multi-million pound claim over who has taken what from the various companies within the Group. The action has involved the obtaining of many injunctions and much work liaising with accountants.
