Retention of Title

When correctly incorporated into terms and conditions of sale, a Retention of Title or “Romalpa” clause allows the seller to retain title of goods until he has been paid for those good or indeed, in a variant of such clauses, until all goods have been paid for
Practical issues need to be considered, for example,
- where the goods are components or raw materials likely to be combined / mixed into making something else
- the logistics of retrieving the goods in the event of non payment by or liquidation of the buyer
